RETURNED GOODS POLICY

This Returned Goods Policy is SECURA BIO, INC.®’s (“SECURA BIO”) current policy for all returns of SECURA BIO pharmaceutical product(s) (“Products”) purchased directly from SECURA BIO, or its Authorized Distributor of Record (“ADR”) by entities licensed to dispense or distribute SECURA BIO’s products (“Customer”). To qualify for return, Products must have been purchased directly from SECURA BIO or from an ADR (supplied by the returning party upon request by SECURA BIO or its agent or designee).

Non-Authorized distributors who purchase Products from ADRs are not eligible to return SECURA BIO Products for credit. Indirect customers will be issued credit through their distributor.

Returnable Items

Eligible Products for Return: All returns require a Returned Goods Authorization (“RGA”).

  1. Received by Customer in error: Products shipped in error by SECURA BIO may be returned, if applicable, for a full credit, including freight, when returned within ten (10) days of receipt. Products must be returned in accordance with the RGA instructions.
  2. Ordered by Customer in error: Products ordered in error may be returned for credit, freight prepaid by Customer, when reported within ten (10) days of receipt by the Customer. Products must be returned in accordance with RGA instructions.
  3. Requested by Customer to destroy expired product: Products may be returned for no refund for destruction.
  4. SECURA BIO will issue authorization for the return of eligible Products in partial quantities where mandated by state law.

Damaged in Transit and Shortages:

  1. Received by Customer as damaged: Products received damaged may be returned for full credit including freight when reported within ten (10) days of receipt by the Customer. If Products are received damaged, please have the transportation company note “damaged” or “broken” on the freight bill. Damaged Products should remain in the original carton for inspection. Products must be returned in accordance with RGA instructions and in their original packaging. Concealed damages should be reported immediately upon discovery, but in no instance later than 30 days after receipt of Products.
  2. Shortages: Upon receipt of Products, ADRs are requested to verify quantities of units received against original shipping documents by performing a physical count. Any discrepancies must be reported to SECURA BIO within ten (10) days of receipt, at which time the SECURA BIO Regulatory/Quality Assurance Department may initiate an investigation.

Non-Returnable Items

All Products, other than those listed above, shall be deemed not returnable for returned goods credit. Non-returnable products include, without limitation:

  1. Products returned without an RGA.
  2. Products that are not in the original packaging bearing the original manufacture label.
  3. Products that are more than twelve (12) months past the expiration date noted on the package/container. Product expiration occurs on the last day of the month of the expiration month and year noted on the package/container. (Products may be returned for destruction, but no credit will be issued.)
  4. Products obtained other than through normal channels of distribution or purchased from a source other than SECURA BIO or the ADR.
  5. Professional Samples
  6. Products involved in a fire sale, sacrifice sale, bankruptcy, flood, or earthquake.
  7. Products deteriorated or damaged due to conditions beyond the control of SECURA BIO, such as improper storage, heat, cold, water, smoke, fire, negligence, etc.
  8. Non-original or repackaged Products. This includes prescription and/or other labels added to and/or removed from the original manufacture’s product package/container.
  9. Products sold with specific understanding that it is non-returnable.
  10. Products that have been donated (at no charge to customer).
  11. Products that SECURA BIO determines, in its sole discretion, is otherwise adulterated, misbranded, or counterfeit.

In addition, a Certificate of Destruction does not qualify as an acceptable format for Product return.

Terms of Return Policy

  1. Credit for eligible returned goods referenced above under Returnable Items will be issued at the then current WAC or if purchased at a contracted price at the applicable contracted price.
  2. No credit will be issued for administration, shipping or handling, including third party processing fees, with the exception of product received by customer as damaged and Products received by Customer in error as referenced above under Returnable Items.
  3. Deductions from invoices/payments may not be taken until credit memo is issued by SECURA BIO. Unauthorized deductions for returns may result in held orders. Receipt of returned Products at SECURA BIO does not constitute SECURA BIO’s acceptance for credit. All Product information (including product identification, lot number and expiration date) will be verified before credit or reimbursement is issued.
  4. For items purchased or invoiced from a wholesaler/specialty distributor, credit will be issued through the wholesaler/specialty distributor.
  5. Returns are subject to final count and acceptance by SECURA BIO. SECURA BIO reserves the right to accept or reject the Products for credit.
  6. SECURA BIO reserves the right to destroy, without recourse, all returned packages.
  7. Unauthorized returns may be destroyed and not reimbursed.

Procedure for Returning Items

  1. Customers must obtain an RGA for returns via phone from SECURA BIO Customer Service at (833) 248-0475 or via fax at (833) 897-0040 or via email at SecuraBioReturns@ICSconnect.com. Returns will not be processed without an RGA. RGAs expire thirty (30) days from date issued. Return to 3PL. (See address below).
  2. An itemized packing slip, with the information listed below and an RGA number must accompany any returned goods.
  3. If returning more than one box, each box should contain the RGA number and box number, i.e. “1/2, 2/2”.

Transportation Charges

Transportation, shipping charges, and insurance surrounding the RGA and return must be prepaid by Customer unless the Product is shipped in error by SECURA BIO. Direct purchasing Customers are specifically prohibited from deducting from any invoice/payment any such return transportations costs, insurance costs, handling fees, or processing fees. No credit will be issued for the administration, shipping, or handling of returns, including third party processing fees, with the exception of Products received by Customer as damaged and Products received by Customer in error as referenced above under Returnable Items.
